Path to Public Listing – 2025–2026 Roadmap

Bitcoin Holding Sweden AB is in the process of fulfilling all legal and structural requirements for conversion into a public limited company (publikt aktiebolag) under the Swedish Companies Act.

Ongoing and completed steps:
• Q4 2025 – Share capital increase to SEK 500 000 (in progress), meeting the statutory capital requirement for a public company.
• Q4 2025 – Introduction of C-shares (completed) in the Articles of Association, creating an incentive share class intended to reward future Board performance and long-term value creation.
• Q4 2025 – Board recruitment process (in progress) to appoint three new independent board members in addition to the current CEO, Jonas Livros.
• Q4 2025 – Governance and compliance training (completed) by Jonas Livros, covering the duties and regulatory standards for directors in listed companies.

Upcoming milestones:
• Completion of new Board appointments and formal adoption of an expanded governance framework.
• Finalisation of capital and risk policy aligned with public-company standards.
• Audit of treasury holdings and Proof-of-Reserves review by an independent auditor.
• Preparation and submission of listing application, subject to market conditions and completion of required audits.

These actions collectively strengthen Bitcoin Holding Sweden AB’s governance, transparency and readiness for its transformation into a public entity.
