Bitcoin Holding Sweden AB to hold Extraordinary General Meeting to decide on strategic changes for future growth and listing

Bitcoin Holding Sweden AB (the “Company”) will hold an Extraordinary General Meeting on October 8, 2025, at 13:00 CET.

At the meeting, the Board of Directors will present proposals for a number of amendments to the Articles of Association aimed at strengthening the Company’s capital structure, increasing flexibility for future expansion, and preparing the Company for its planned transformation into a public limited company (“publ”).

1. Introduction of C-shares

The Board proposes the introduction of a new share class, C-shares.
The C-shares will carry no rights to dividends or voting, but may be converted into B-shares upon resolution by a General Meeting.

The purpose of introducing C-shares is to create a structured and sustainable model for incentive programs directed at key individuals, board members, and future strategic partners.
This enables performance-based incentives that strengthen the Company’s long-term development.

The introduction of C-shares provides the Company with an instrument for strategic recruitment and compensation structures as the organization continues to grow.

2. Increase in share capital and number of shares

The limits for share capital and total number of shares in the Articles of Association are proposed to be increased.

This change provides the Company with greater flexibility for future capital raises, share splits, and new share issues, without requiring amendments to the Articles of Association for each such corporate action.
The purpose is to ensure that the Company maintains a long-term, scalable capital structure suitable for continued growth and a future listing on a regulated marketplace.

3. Authorization for the Board of Directors

The Board proposes that it be authorized by the General Meeting, until the next Annual General Meeting, to resolve on new issues of shares, warrants, or convertibles, on one or more occasions and with or without deviation from the shareholders’ preferential rights.

The purpose of this authorization is to provide the Board with increased flexibility to act swiftly in connection with capital raisings, strategic investments, or partnerships that support the Company’s long-term objectives.
This measure strengthens the Company’s operational and financial agility ahead of its next phase of expansion.

Strategic direction and next phase

Bitcoin Holding Sweden AB is currently developing several strategic initiatives intended to further strengthen the Company’s unique position as a Bitcoin treasury company.
The Company considers it essential to realize these initiatives before becoming a public limited company, in order to differentiate itself from other market participants.

The goal is to establish a business model that is entirely unique — both as a Bitcoin treasury company and as a corporation in general.
Plans for this initiative is in progress, and the Company is actively working to realize them in the near term.

In parallel, the Company continues to pursue its previously communicated strategy to transform into a public limited company and subsequently work toward a future listing.
These actions form part of the Company’s long-term objective to achieve transparency, growth, and sustainable value creation for its shareholders.
